b)	Nature of the transaction	The 6,000,000 ordinary shares of the Issuer which were previously loaned by General Provincial Life Pension Fund ("GPLPFL") to Custodial Capital Management Limited ("CCML"), and which were pledged by CCML under a security interest agreement related to a loan facility agreement with The Royal Bank of Scotland International, have now been returned to GPLPFL.  The associated loan facility has been repaid and pledge cancelled.  The 300,000 ordinary shares of the Issuer which were previously loaned by GPLPFL to a third party and pledged under a loan facility agreement with Bermuda Commercial Bank Limited have also been returned and the related pledge cancelled. GPLPFL has lent 3,300,000 ordinary shares of the Issuer to  Permanent Mutual Limited  ("PML") which have been pledged under a security interest agreement related to a loan facility agreement with  Bermuda Commercial Bank Limited . Mr Saville's aggregate interest in UIL's ordinary shares is unchanged as a result of this transaction. The ultimate parent undertaking of GPLPFL, CCML and PML is Somers Isles Private Trust Company Limited ("SIPTCL") as trustee of various trusts of which Mr Saville is the beneficiary. Mr Saville is the owner of SIPTCL.
