Voting Rights and Capital

Following the scheme of reconstruction and voluntary liquidation of Utilico
Investment Trust plc and rollover into Utilico Limited ('Utilico' or the '
Company') and its wholly-owned subsidiary Utilico Finance Limited ('Utilico
Finance') and in accordance with the Disclosure and Transparency Rule 5.6.1, the
Company announces that its issued share capital consists of 79,656,782 ordinary
shares of 10 pence each with each share carrying the right to one vote.  The
Company does not hold any shares in treasury.

The total number of voting rights in the Company is therefore 79,656,782.

The above figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, the Company under the FSA's
Disclosure and Transparency Rules.

The Company also has in issue 12,329,479 2008 Warrants and 3,601,877 2012
Warrants which do not carry voting rights.

Holders of 45,486,200 2012 ZDP Shares, 37,500,000 2014 ZDP Shares and 37,500,000
2016 ZDP Shares of the Company's wholly-owned subsidiary, Utilico Finance, do
not carry any voting rights at general meetings of the Company.
