UK Commercial Property Trust Ltd 14 December 2006 RNS Announcement UK Commercial Property Trust Limited 14 December 2006 Potential equity raising and acquisition of a property portfolio The Board of the Company announces that it is in early discussions regarding a potential acquisition of a portfolio of properties that is significant relative to the size of the Company. The potential portfolio is similar in nature to the Company's existing portfolio of properties. It is intended that, if the acquisition proceeds, it will be funded by the issue of further ordinary shares at a small premium to the net asset value per share as at 31 December 2006. It is further intended that the acquisition will not be dilutive to existing shareholders, after taking into account both the costs of raising further equity and the costs of acquiring the property portfolio. The acquisition will be subject to shareholder approval. The Company's advisers will shortly be identifying demand for a placing of the new ordinary shares. It is expected that a further announcement will be made by the Company early in the New Year. A circular convening an extraordinary general meeting and a prospectus containing details of the placing and the property portfolio will be published thereafter. The Board are also pleased to note that the Company will be admitted to the FTSE 250 with effect from 18 December 2006.
