5% SUBORDINATED CONVERTIBLE BONDS
RESULTS OF GENERAL MEETING
Electra Private Equity PLC (the "Company") is pleased to announce that, at the general meeting of the Company's shareholders held at 10.00 a.m. today, the special resolution as set out in the Notice of General Meeting contained in the prospectus and circular dated 30 November 2010 (the "Prospectus") relating to the Placing and Open Offer of up to £100 million aggregate principal amount of 5 per cent. Subordinated Convertible Bonds due 2017 was duly passed on a show of hands without amendment by the required majority.
The proxy appointments and voting on the resolution is set out below:

No. of votes withheld 1,282,648
Any "vote withheld" is not a vote in law and is not counted in the calculation of the proportion of the votes for and against the resolution. Proxy votes giving the Chairman discretion as to how to vote (being 40,089 votes) have been included in the number of proxy votes stated above as voting in favour of the resolution.
A copy of the resolution passed has also been submitted to the National Storage Mechanism and will shortly be available for inspection at www.Hemscott.com/nsm.do.
The Placing and Open Offer remain conditional upon Admission and the Placing Agreement not having been terminated in accordance with its terms.
Application has been made to have the Bonds admitted to the Official List of the UK Listing Authority and to trading on the London Stock Exchange's main market for listed securities with effect from 8.00 a.m. on 29 December 2010.
