United Overseas Group plc (the 'Company')
Result of EGM
The Company is pleased to announce that all resolutions proposed at its EGM
held on 30 July 2001 in respect of the rights issue and the capital
reorganisation, announced on 5 July 2001, were duly passed by shareholders. As
required by The City Code on Takeovers and Mergers, Resolution 3 was
undertaken on a poll, the results of which were as follows: 30, 503,880 votes
in favour of the Resolution; 204,557 votes against the Resolution.
As a result of the capital reorganisation, the existing issued ordinary shares
of 10p each will be sub-divided and converted into one new ordinary share of
1p each and nine deferred shares of 1p each. This will take effect from 8.00am
on 31 July 2001.
Application has been made to the UK Listing Authority and the London Stock
Exchange for 239,835,324 rights shares to be admitted to the Official List.
Dealings in the rights shares are expected to commence, nil paid, at 8.00am on
31 July 2001.
