Result of Open Offer and Offer for Subscription
Further to the Circular published on 18 February 2020 containing inter alia further information on the Open Offer and Offer for Subscription, the Company is pleased to announce that it has received valid acceptances from Qualifying Shareholders in respect of 3,917,269 Open Offer Shares, raising gross proceeds of approximately £5.4 million under the Open Offer.
In addition, the Company has received valid acceptances for 517,088 Offer for Subscription Shares, raising gross proceeds of approximately £0.7 million under the Offer for Subscription.
All valid applications received under the Open Offer and Offer for Subscription, including valid applications received under the Excess Application Facility, will be met in full.
In combination with the result of the Placing announced on 14 February 2020, the Company has now raised aggregate gross proceeds of approximately £136.1 million, conditional inter alia on shareholder approval to enable the allotment of the New Ordinary Shares at the General Meeting, which is to be held at the offices of Gowling WLG (UK) LLP, 4 More London Riverside, London SE1 2AU at 10.00 a.m. on 9 March 2020.
Application will be made for 100,789,419 New Ordinary Shares (including LTIP Shares) to be admitted to trading on AIM. Following shareholder approval it is expected that Admission will become effective and that dealings in the New Ordinary Shares will commence at 8 a.m. on 11 March 2020.
Words and expressions defined in the Circular published on 18 February 2020 shall have the same meaning in this announcement.
