SPECIAL GENERAL MEETING UPDATE

Utilico Emerging Markets Limited announces that, at the Special General Meeting held on 5 January 2009, the resolution proposed to convert £219,500,000 of the Company's share premium account to a special distributable reserve account with effect from 6 January 2009 was duly passed.
