VAALCO ENERGY, INC. ANNOUNCES TERMINATION OF MATERIAL DEFINITIVE AGREEMENT
HOUSTON - December 23, 2022 - VAALCO Energy, Inc. (NYSE: EGY; LSE: EGY) ("VAALCO" or the "Company") announces that, on December 19, 2022, TransGlobe Energy Corporation ("TransGlobe"), an indirect wholly-owned subsidiary of VAALCO, voluntarily delivered a notice of termination to ATB Financial relating to TransGlobe's revolving Canadian reserves-based lending facility with ATB Financial, as lender (the "ATB Facility").
The ATB Facility is governed by a commitment letter dated May 16, 2017, as amended, and provides for an amount of borrowings dependent upon the borrowing base, which was determined with reference to TransGlobe's proved oil and gas reserves in Canada, as evaluated in the most recent annual reserves report(s) and delivered pursuant to the ATB Facility. As of June 4, 2021, the borrowing base was set at C$22.5 million.
As of December 19, 2022, no amounts were drawn on the revolving loan facility. The ATB Facility also contains provisions allowing for (i) the issuance of letters of credit and (ii) credit support for corporate credit card accounts for employees of TransGlobe. As of December 19, 2022, there remained one letter of credit outstanding, in the amount of C$50 thousand, and a credit card balance of approximately C$35 thousand. Upon repayment and discharge of the forgoing, the ATB Facility will be deemed terminated and liens associated therewith will be released.
Termination of the ATB Facility will not affect VAALCO's $50.0 million senior secured reserve-based revolving credit facility with Glencore Energy UK Ltd., which remains in force as of the date of this announcement. All references to $ are to United States dollars and references to C$ are to Canadian dollars.
