Change of auditor

Provident Financial plc ("the Company") announces that the Board has appointed Deloitte LLP as auditors of the Company with immediate effect, replacing PricewaterhouseCoopers LLP.

In accordance with the Company's Corporate Governance Policies the Board authorised the Audit Committee to review the provision of audit services. Following a rigorous tender process, the Audit Committee recommended to the Board that Deloitte LLP be appointed as auditors to the Company and its subsidiaries, commencing with the review of the 2012 half-year results.

PricewaterhouseCoopers LLP have deposited with the Company a statement of circumstances connected with their ceasing to hold office.  The statement confirms that PricewaterhouseCoopers LLP have ceased to hold office as a result of their not being successful in the formal tender process undertaken by the Company.
