African Consolidated Resources plc ('ACR' or the 'Company')

Director's Shareholding

ACR, the AIM listed southern African focused resource development company, announces that on 22 February 2012, Stuart Bottomley, director of the Company, purchased through his pension fund 75,000 ordinary shares of 1p each in the Company at 4p per share and on 23 February 2012 a further 75,000 ordinary shares of 1p in the Company for 4.305p per share.

The Company was notified of the above transactions on 23 February 2012.

The resultant holding of Stuart Bottomley (including pension fund) following the above transactions is 7,376,000 ordinary shares in the Company, being 1.61% of the Company's issued share capital.  This holding does not include his interest over shares held through contracts with the Company's Employee Benefit Trust.
