   Completion of Placing, Admission of Placing Shares and Total Voting Rights

ACR,  the AIM-listed southern  African focused resource  development company, is
pleased  to announce  completion of  the Placing  announced on 21 June 2011.  As
detailed in the previous announcement, 78,334,000 ordinary shares in the Company
have today been admitted to trading on AIM.

Following  completion of  the Placing  and admission  of the Placing Shares, the
total number of ordinary shares in issue in the Company is now 453,336,451.

The  above figure (453,336,451  ordinary shares) may  be used by shareholders as
the  denominator for the calculations  by which they will  determine if they are
required  to notify  their interest  in, or  a change  to their interest in, ACR
under the FSA's Disclosure and Transparency Rules.
