          African Consolidated Resources plc ('ACR' or the 'Company')

                            Director's Shareholding

ACR,  the  AIM  listed  southern  African  focused resource development company,
announces  that on  5 October 2011, Stuart  Bottomley, director  of the Company,
purchased  through his  pension fund  250,000 ordinary shares  of 1p each in the
Company for £8,125, or 3.25 pence per share.

The Company was notified of the above transaction on 5 October 2011.

The resultant holding of Stuart Bottomley (including pension fund) following the
above  transaction is 6,876,000 ordinary  shares in the  Company, being 1.51% of
the  Company's issued share capital.  This holding does not include his interest
over shares held through contracts with the Company's Employee Benefit Trust.
