                            Directors' Shareholdings

African  Consolidated  Resources  plc,  the  AIM listed southern African focused
resource   development   company,   announces  that  on  4 October  2011, Stuart
Bottomley,  director of the Company, purchased through his pension fund 250,000
ordinary shares of 1p each in the Company for £7,500 and Roy Tucker, director of
the  Company, together with  his wife, purchased  400,000 ordinary shares of 1p
each in the Company for £12,000.

The Company was notified of the above transactions on 4 October 2011.

The resultant holdings following the above transactions are as follows:

                 Ordinary shares in the Company % of the Company's issued share
                                                capital

Stuart Bottomley 6,626,000                      1.45%

Roy Tucker       3,885,859                      0.85%




These  holdings do not include any  interests over shares held through contracts
with the Company's Employee Benefit Trust.
