African Consolidated Resources plc, the AIM listed resource and development company, announces the following issues of new ordinary shares of 1p each in the Company ("Ordinary Shares"):

The issue of Ordinary Shares, on the same terms as announced on 24 October 2014, to pay a fixed proportion of basic remuneration for the thirteen month period ending 31 July 2014 in respect of certain directors and employees remuneration:

The issue of 3,000,000 Ordinary Shares at a price of 1.5p per Ordinary Share to Craig Hutton, former Chief Executive Officer of the Company, as part of his termination agreement.

The issue of 1,900,000 Shares at a price of 2p per Ordinary Share to certain former employees of the Company in respect of services rendered.

Application has been made to the London Stock Exchange for 13,025,000 new Shares to be admitted to trading on AIM ("Admission").  Admission is expected to occur at 8:00 am on 15 December 2014. 

The resultant holding of the directors following these issues is as follows.  These holdings do not include any interests over Ordinary Shares held through contracts with the Company's Employment Benefit Trust.

Following Admission, the total number of voting rights in the Company will be 863,562,664 with each Ordinary Share carrying the right to one vote.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in ACR under the FSA's Disclosure and Transparency Rule.
