Non-Executive Directors' Compensation in Shares
The Board of Velti plc agreed on 14 March 2008, that the Non-Executive Directors
will receive 60% of their compensation for the period May 2008 to April 2009 in
the Company's Ordinary 5p shares, except for Nicholas Negroponte who will
receive 100% of his compensation in shares.

Application will be made to the London Stock Exchange for the 70,567 new
Ordinary 5p Shares in the Company to be admitted to trading on AIM. The total
number of Ordinary 5p Shares in issue post-admission will be 32,844,705.
Each director's holding post the issue of these shares will be:
David Mann 85,011
David Hobley 54,098
Nicholas Negroponte 744,845
Jerry Goldstein 388,666
The shares have been issued at 172p, the average of the closing mid market share
price for the 60 days prior to 14 March 2007.
