Grant of Options and Issue of Shares

Oxford Catalysts Group PLC announces the issuance on 21^st March of shares and share options to Executive Directors in lieu of annual bonus payments for achievement against performance targets that were set by the Remuneration Committee for calendar year 2010.

The awards are as follows:

(i) Susan Robertson, Chief Financial Officer, was granted 37,655 options over ordinary shares of £0.01 each in the Company ("Ordinary Shares"), representing approximately 0.04% of the current issued Ordinary Shares, at an exercise price of 1 pence per share. These options are immediately exercisable and expire on 21 March 2021. Following this grant, Susan Robertson holds 304,874  Ordinary Shares (representing approximately 0.3% of the current issued Ordinary Shares) and has options over 442,653 Ordinary Shares (representing approximately 0.5% of the current issued Ordinary Shares); and

(ii) Roy Lipski, Chief Executive Officer, was issued 87,534 ordinary shares of £0.01 each in the Company ("Ordinary Shares"), representing approximately 0.1% of the current issued Ordinary Shares. Following this issue, Roy Lipski holds 2,417,098 Ordinary Shares (representing approximately 2.7% of the current issued Ordinary Shares) and has options over 842,000 Ordinary Shares (representing approximately 0.9% of the current issued Ordinary Shares).

Application has been made for the 87,534 Ordinary Shares to be admitted to trading on AIM, and it is expected that trading in the Ordinary Shares will commence at 8:00 a.m. on 28 March 2011.

The total number of Ordinary Shares with voting rights in issue following the issue will be 90,156,758. Oxford Catalysts does not hold any ordinary shares in treasury. The figure of 90,156,758 Ordinary Shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Group under the Financial Services Authority's Disclosure and Transparency Rules.
