Completion of the Acquisition of Gnanomat S.L.

 

Versarien plc (AIM:VRS) ("Versarien" or the "Company"), the advanced materials group, is pleased to announce that, further to the announcement made on 25 September 2018, that it has completed the acquisition of 62 per cent. of the issued share capital of Gnanomat S.L. ("GNA") (the "Acquisition").

Issue of New Ordinary Shares and Total Voting Rights

Application for admission to trading on AIM of the 1,316,278 New Ordinary Shares being issued pursuant to the Acquisition has been made ("Admission").  Dealings in the New Ordinary Shares are expected to commence on AIM on 5 October 2018.  The New Ordinary Shares will rank pari passu with the existing Ordinary Shares in issue.

In accordance with the provisions of the Disclosure Guidance and Transparency Rules of the FCA, the Company confirms that, following Admission, its issued share capital will comprise 153,536,200 ordinary shares of 1 pence each.  All Ordinary Shares shall have equal voting rights and none of the ordinary shares are held in treasury. The total number of voting rights in the Company immediately following Admission will therefore be 153,536,200.
