VOTING RIGHTS AND CAPITAL


In conformity with the Transparency Directive's transitional provision 6, Vertu
Motors plc notifies the market of the following:

Vertu Motors plc's capital consists of 46,750,000 ordinary shares with a
nominal value of 10p each, with voting rights. 

Vertu Motors plc does not hold any ordinary shares in Treasury.


Therefore, the total number of voting rights in Vertu Motors plc is 46,750,000.


The figure of 46,750,000 may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Vertu Motors plc under the FSA's
Disclosure and Transparency Rules.
