Directors' Interests

Cookson Group plc



In accordance with the rules of the Cookson Group Long-Term Incentive Plan (the
'Plan') the executive Directors of Cookson Group plc have received their annual
allocations of Performance Shares.  In addition, Nick Salmon, Chief Executive,
and Mike Butterworth, Group Finance Director, have both chosen to invest in
Cookson shares and as a result have received allocations of Matching Shares.



Performance Shares were allocated to executive Directors on 3 April 2007, based
upon the mid-market closing price for shares in Cookson Group plc ('the Company') 
on 2 April 2007, of 623 pence.  The allocations are as follows:

In accordance with the rules of the Plan, the executive Directors are eligible
to invest all or part of their Annual Incentive payment in shares in the Company
in return for which they would be granted an award of shares ('Matching Shares
').  In this regard Mr Salmon purchased 39,355 shares and Mr Butterworth
purchased 15,742 shares.  Details of these purchases were announced on 26 March
2007.  As a result of these investments in Company shares, Messrs Salmon and
Butterworth were yesterday allocated 153,032 and 61,212 Matching Shares
respectively.



Awards of Performance and Matching Shares under the Plan will normally vest on
or shortly after the third anniversary of the award date.  The proportion of an
award that vests will be subject to the attainment of certain performance
conditions relating to the performance of the Company over the three financial
years to which the award relates, as detailed in the 2006 Annual Report.



As a result of the above, the revised interests of the executive Directors in
the shares of the Company are as follows:-
