Options to purchase 7 million existing ordinary shares in the Company were
granted on 2 August 1999 at an option price of £2.26 under the Cookson Group
plc Approved Executive Share Option Scheme 1992 and the Cookson Group plc
Executive Share Option Scheme 1992 to employees of the Company and its
subsidiaries. These included the following grants to Directors of the Company,
all made under the latter of the two schemes:

Note:  Following recent changes to the taxation of options in Belgium, options
awarded to Mr Cozzani (who is resident in Belgium) have been granted as share
appreciation rights rather than options over shares.  These have been awarded 
under the rules of the same scheme as the share options granted to his
colleagues.
