                    NOTIFICATION OF DIRECTORS' SHAREHOLDINGS


The Directors of Victoria P.L.C. ('the Company') were yesterday notified by the
Trustees of the Victoria Carpets Profit Sharing Scheme ('the Scheme') of the
following changes in Directors' shareholdings.

On 20 May 2003, following the third anniversary of the second allocation of
shares under the Scheme, 6,138 Ordinary shares in the Company were transferred
into the individual names of scheme members. The transferred shares represent
0.09% of the Company's issued ordinary shares.

The Trustees of the Scheme continue to hold the balance of 43 shares,
non-beneficially.  Following the transfers, the non-beneficial shareholdings of
those directors of the Company who are also trustees of the Scheme are as
follows:
