VICTORIA P.L.C. (the 'Company') - Holding in Company

The Company was notified on 10 June 2002 that the Trustees of the Victoria
Carpets Profit Sharing Scheme (the 'Scheme') had that day sold 16,825 ordinary
shares of 25p each in the Company ('ordinary shares') at 127p per share,
representing approximately 0.24% of the Company's issued ordinary shares. The
Scheme is an Inland Revenue approved profit share scheme.


Following the sale, the Trustees hold on behalf of the Scheme, 362,591 ordinary
shares representing approximately 5.22 per cent of the Company's issued ordinary
shares.


As trustees of the Scheme, the following Directors' non-beneficial shareholdings
have each been reduced by 16,825 ordinary shares and are now as follows:
