The Company was notified today that the Trustees of the Victoria Carpets Profit
Sharing Scheme ('the Scheme') on Monday, 30th September 2002, sold 4,157
ordinary shares of 25p each in the Company at 143p per share, representing
approximately 0.06% of the Company's issued ordinary shares. The Scheme is an
Inland Revenue approved profit share scheme.

Following the sale, the Trustees hold on behalf of the Scheme, 343,302 ordinary
shares of 25p each in the Company, representing approximately 4.94 per cent of
the Company's issued ordinary shares.

As trustees of the Scheme, the following Directors' non-beneficial shareholdings
have each been reduced by 4,157 ordinary shares and are now as follows:
