AGM Statement and Directorate Change
AGM Statement
Alison Carnwath Chairman of The Vitec Group plc, made the following statement at
the Group's AGM today:
'As anticipated at our full year results announcements on 25 February 2002, the
current year is proving to be very tough. The market for Vitec's products and
services remains subdued, with particular weakness in Broadcast Cameras, which
supplies TV studios, and in Broadcast Services, which despite a strong
performance at the recent Winter Olympics and Oscars, has yet to see improved
order intake levels for its more routine smaller events business.
However, Photographic is slightly ahead of plan, being mainly driven by consumer
demand. This demand is not reflected in our other divisions which are
predominantly corporate facing.
'Costs continue to be kept under tight control and headcount has been reduced
further. An upturn in economic activity is required to drive better
performance. In the meantime we are taking all possible steps to position the
Group to caplitalise fully on an upturn as and when it materializes.'
Directorate Change
After more than ten years with the Vitec Group, Richard Green will be resigning
as a director on 13 May 2002 in order to pursue new challenges.

Finance Director. He joins Vitec from GKN where he was most recently Chief
Financial Officer for GKN's Industrial Services Portfolio and prior to that
Finance Director of its Aerospace Division following six years as Head of
Corporate Finance. He will be a valuable addition to the Company.
Alison Carnwath, Chairman of The Vitec Group, said:
'I would like to thank Richard for his contribution over the last ten years. I
am pleased he will be staying with the company until the end of June, thus
ensuring an orderly handover. At the same time, I am also delighted to welcome
Alastair Hewgill who will bring considerable skills and experience to the role.'

held any Directorship in any other publicly quoted company in the last five

(g), inclusive, of the Listing Rules.
