Director shareholding

The Company was notified on 27 May 2005 that M R Harris, an Executive Director,
exercised options over ordinary shares in the Company under the terms of the
Bovis Homes Group PLC Executive Share Option Scheme on 27 May 2005 as follows:

Having sold 57,623 shares at a price of £6.90 per share on 27 May 2005 to meet
the option cost and PAYE liability, M R Harris retained the maximum number of
shares. His resultant holding has increased by 19,677 shares.

Following this transaction, M R Harris's shareholding in the Company has
increased to 313,443 shares.
