Bovis Homes Group Plc ('the Company')

NOTIFICATION OF SHAREHOLDING

The Company was informed on 23 December 2002 that Schroder Investment Management
Limited ('Schroders'), have an interest in 12,938,817 shares which are held in
portfolios managed by Schroders on a discretionary basis for clients under
investment management agreements.

Included in this figure are :-

i) 1,624,637 shares registered or to be registered in the name of Schroders'
wholly-owned subsidiary nominee company, Schroder Nominees Limited ('Schroder
Nominees'),

ii) 4,079,358 shares held in (a) unit trust(s) operated and managed by an
affiliated company, Schroder Unit Trusts Limited ('SUTL'), and registered or to
be registered in the name of Chase Nominees Limited, and

iii) 7,235,132 shares held in portfolios where the shares are not registered or
to be registered in the name of Schroder Nominees. The registration details are
shown on the enclosed schedule.

An affiliated company, Schroder Investment Management North America Inc ('SIMNA
Inc'), is managing a portfolio on a similar basis holding a further 1,100,000
shares. These shares are registered or to be registered in the name of Chase
Nominees Limited.

Therefore, Schroder Investment Management Limited, its subsidiary and affiliated
companies are interested in an overall aggregate of 14,038,817 shares,
representing some 12.028% of the total number of shares in issue, namely
116,717,585 shares.

This notification is made:-

a) in respect of Schroders' interest as investment managers,

b) on behalf of SIMNA Inc and SUTL in relation to the interests they are treated
as having respectively under the Companies Act 1985 (the Act), and





c) on behalf of Schroders plc, the holding company, which is treated as having
an interest in all of the above shares under the Act by virtue of its ownership
of SIMNA Inc, SUTL and Schroder Investment Management Limited.
