Bovis Homes Group Plc ('the Company')

NOTIFICATION OF SHAREHOLDING

The Company was informed on 25 June 2004 that Schroder Investment Management
Limited ('Schroders'), have an interest in 14,430,035 shares which are held by
Schroders on a discretionary basis for clients under investment management
agreements.

Included in this figure are :-

i) 1,915,028 shares registered or to be registered in the name of Schroders'
wholly-owned subsidiary nominee company, Schroder Nominees Limited ('Schroder
Nominees'),

ii) 4,054,596 shares held in (a) unit trust(s) operated and managed by an
affiliated company, Schroder Unit Trusts Limited ('SUTL'), and registered or to
be registered in the name of Chase Nominees Limited, and

iii) 8,460,411 shares held in portfolios where the shares are not registered or
to be registered in the name of Schroder Nominees. The registration details are
shown on the enclosed schedule.

A subsidiary, Schroder Investment Management North America Ltd ('SIMNA Ltd'), is
managing a portfolio(s) on a similar basis holding a further 910,000 shares.
These shares are registered or to be registered in the name of Chase Nominees
Limited.

An affiliated company, Schroder & Co. Limited (S&Co Ltd), is managing a
portfolio, holding a further 13,000 shares. These shares are registered or to be
registered in the name of Chase Nominees Limited.

Therefore, Schroder Investment Management Limited, its subsidiary and affiliated
companies are interested in an overall aggregate of 15,353,035 shares,
representing some 12.996% of the total number of shares in issue, namely
118,134,465 shares.

This notification is made:-

a) in respect of Schroders' interest as investment managers,

b) on behalf of SIMNA Ltd, S&Co Ltd and SUTL in relation to the interests they
are treated as having respectively under the Companies Act 1985 (the Act), and


c) on behalf of Schroders plc, the holding company, which is treated as having
an interest in all of the above shares under the Act by virtue of its ownership
of SIMNA Ltd,S&Co Ltd, SUTL and Schroder Investment Management Limited.
