                        ACQUISITION OF MOBILE TELECOM


Vodafone Group Plc today announces its acquisition of the remaining 80% of
Mobile Telecom Group Limited for an undisclosed amount.  This acquisition is
effective from 2 May 2001.


Mobile Telecom, based in Croydon, Surrey, is an active independent mobile
communications service provider, and serves approximately 100,000 of
Vodafone's UK customers.


Mobile Telecom had net assets of £4 million as at 31 March 2001.
