                      Vodafone Group plc (the 'Company')

Application has been made to the Financial Services Authority and the London
Stock Exchange plc for 3,097,446,624 Ordinary shares of US$0.10 each
('shares') to be admitted to the Official List. Admission of the new shares
was granted on 27 December 2000 and admission and trading will commence on 29
December 2000.

These shares are being issued as vendor consideration in connection with the
Company's acquisition of Airtel Movil SA.

These shares will rank pari passu with the existing issued Ordinary shares.
