Application has been made to the Financial Services Authority and the London
Stock Exchange Plc for a total of 50,000,000 Ordinary shares of $0.10 each
fully paid ('shares') to be admitted to the Official List. It is expected that
admission will be granted on Wednesday 25 April 2001, and that dealings will
commence Friday 27 April 2001.

These shares are being reserved under a block listing and will be issued as a
result of the exercise of share options pursuant to the following schemes:

Vodafone Group Executive Share Option Schemes                    50,000,000

When issued, these shares will rank pari passu with the existing Ordinary
shares.
