HENNING SCHULTE-NOELLE RESIGNS FROM VODAFONE BOARD
Vodafone Group Plc ('Vodafone') announces today that Dr. jur. Henning
Schulte-Noelle, Chairman of the Board of Management of Allianz AG, has
resigned as a non-executive director of Vodafone. Dr. Schulte-Noelle, who
joined the Vodafone Board in May 2000 shortly after the completion of
Vodafone's acquisition of Mannesmann AG, where he was a member of the
Supervisory Board from 1994 to 2000, will have to take over additional
responsibilities following the merger between Allianz and Dresdner Bank and,
as a result, has reluctantly concluded that he will have insufficient time to
devote to his directorship of Vodafone.
Lord MacLaurin of Knebworth, Chairman of Vodafone commented, 'I am very
grateful to Henning Schulte-Noelle for his service to the Board and we wish
him well with his substantial task of bringing together Allianz and Dresdner
Bank'.
