Closing of Vodafone's acquisition of 25% of Swisscom
Mobile
Vodafone Group Plc ('Vodafone') announces today that
closing of its acquisition of a 25% stake in Swisscom
Mobile is expected to take place on 30 March 2001.
Vodafone has advised Swisscom AG ('Swisscom'), in
accordance with the contractual arrangements between
them, that it intends to satisfy the first tranche of the
consideration being CHF2.2 billion by the issue of new
Vodafone shares and the payment of CHF25 million in cash.
The agreement between Vodafone and Swisscom requires the
shares to be issued, in consideration for Vodafone's 25%
stake in Swisscom Mobile, to a third party in connection
with an arrangement which fully hedges Swisscom's
exposure to the shares. The number of shares to be
issued and their price per share will be determined under
those arrangements between now and the close of business
on 30 March 2001.
