on 23 January 2007 by HBOS Employee Equity Solutions that on 11 January 2007 the
following directors and persons discharging managerial responsibility acquired
an interest in the following number of shares of US$0.113/7 each in the Company
at the price of 149p per share pursuant to the rules of the Vodafone Group Share
Incentive Plan:
