 Vodafone Group Plc ("the Company")

In accordance with Disclosure and Transparency Rule 3.1.4R(1), the Company announces today that it was advised on 17 August 2011 by UBS Wealth Management that, on 12 August 2011, John Buchanan, Deputy Chairman of the Company, acquired an interest in 7,989 ordinary shares of US$0.11³/₇ each in the Company ("Ordinary Shares") at the price of 168.2862p per share through reinvestment of dividend income.  As a result of the above, Mr Buchanan now has an interest in 230,212 Ordinary Shares.
