Vodafone Group Plc ("the Company")

In accordance with Disclosure and Transparency Rule 3.1.4R(1), the Company was advised on 20 August 2010 by UBS Wealth Management that on 6 August 2010, John Buchanan, Deputy Chairman of the Company, acquired an interest in 7,728 ordinary shares of US$0.11³/₇ each in the Company ("Ordinary Shares") at the price of 154.3p per share through reinvestment of dividend income.  Following this transaction, Mr Buchanan's total interest in the Company is 218,783 Ordinary Shares.
