Vodafone Group Plc ("the Company")

In accordance with Disclosure and Transparency Rule 3.1.4R(1), the Company announces today that it was advised on 23 April 2013 by ABN AMRO Bank N.V. that Gerard Kleisterlee, Chairman of the Company, acquired an interest in the following number of ordinary shares of US$0.11 ³/₇ each in the Company ("Shares"), through reinvestment of dividend income. As a result, Mr Kleisterlee's total interest in the Company is 109,552 Shares.
