Vodafone Group Plc ('the Company')

In accordance with Section 329 of the Companies Act 1985 and Disclosure Rule
3.1.4.R (i) of the Disclosure Rules sourcebook, I have to inform you that on 19
July 2005, Simon David Lewis, a person discharging managerial responsibility,
was granted an option over 3,482 ordinary shares of US$0.10 each in the Company
pursuant to the Vodafone Group 1998 Sharesave Scheme at a price per share of
108.84p.  The option will be exercisable three years from the date of grant
provided that the required monthly savings are maintained until then.
