Vodafone Group Plc ('the Company')

In accordance with Section 329 of the Companies Act 1985 and Disclosure Rule
3.1.4R(1), I have to inform you that the Company was advised today that on 19
December 2006 Dr Michael Boskin, a non-executive Director of the Company, sold
for personal financial planning reasons a total of 17,593 American Depositary
Shares (equivalent to 175,930 Ordinary shares of U.S.$0.11 3/7 each) in the
Company at the average price of US$28.4405 per American Depositary Share.

As a result of this transaction Dr Boskin now owns 1,000 American Depositary
Shares in the capital of the Company.
