Vodafone Group Plc ('the Company')
In accordance with Section 329 of the Companies Act 1985, I
have to inform you that the Company was notified on 17
November 2000 of the exercise of share options and
subsequent sales of shares on that day (in the form of
American Depository Receipts) by Paul Hazen, the non-
executive Deputy Chairman of the Company, as follows:

Following exercise, 21,215 ADRs were sold at the price of
US$38.063 per ADR.
As a result of these transactions, Mr Hazen has an
outstanding interest in 422,450 ordinary shares in the
Company.
All holdings are maintained in the form of ADRs. The ADR
ratio is ten (10) ordinary shares per ADR.
