Vodafone Group Plc ('the Company')

In accordance with Section 329 of the Companies Act 1985, I have to inform you
that on 28 July 2003 Mr Arun Sarin, a director of the Company, was granted an
option over 16,710 ordinary shares of US$0.10 each in the Company pursuant to
the Vodafone Group 1998 Sharesave Scheme at a price of 95.3p. The option will be
exercisable five years from the date of grant provided that the required monthly
savings are maintained until then.
