Directors' Notification of Dealing in Shares

Vodafone AirTouch Plc ('the Company')

In accordance with Section 329 of the Companies Act 1985, I have to inform you
that today Mr Peter Richard Bamford, a director of this Company, part
exercised an option granted to him under the Company's Share Option Scheme in
July 1997 at an option price of 58.7p per share. Subsequently, Mr Bamford sold
725,000 ordinary shares of US$0.10 each at a price of 316.5p per share.

As a result of this transaction Mr Bamford has an interest, including
unexercised share options, in 1,251,307 ordinary shares of US$0.10 each in the
Company.
