Vodafone Group Plc ('the Company')

In accordance with Section 329 of the Companies Act 1985, I have to inform you
that today Mr Christopher Charles Gent, a director of this Company, part
exercised an option granted to him in July 1997 under the Company's Share
Option Scheme (which is not an Inland Revenue approved scheme) at an option
price of 58.7p per share and acquired 500,000 ordinary shares of US$0.10 in
the Company.

As a result of this transaction Mr Gent has an interest, excluding unexercised
share options, in 1,674,977 ordinary shares of US$0.10 each in the Company.
