DISPOSAL OF HOLDING IN RUHRGAS
Vodafone AG, ('Vodafone') a subsidiary of Vodafone Group Plc announces that it
has reached agreement with E.ON AG, Dusseldorf for the sale of Vodafone's
23.6% stake in Bergemann GmbH through which it holds an 8.2% stake in Ruhrgas
AG. The consideration, which will be paid in cash, is Eur850 million and in
addition, a minimum dividend of Eur35 million for the year ending 2001.
The sale is conditional on the approval of the Supervisory Board of Vodafone
and, subject to all the necessary approvals, is expected to close by the end
of March 2002.
