WITHDRAWAL OF SCRIP DIVIDEND ALTERNATIVE
FOR THE YEAR ENDED 31 MARCH 2001
Vodafone Group Plc (the 'Company') announces today that, pursuant to rule 12
of the Company's Scrip Dividend Scheme, which states that the scrip dividend
alternative will be withdrawn if, on the last day for elections under the
scheme, the Company's share price is 15% or more below the calculated price
for New Shares to be issued under the Scheme, the scrip dividend alternative
on the Company's final dividend has been withdrawn.
The established price for New Shares, calculated in the period of five days
after the Company's shares went ex-dividend on 6 June 2001, is 176.8p. The
middle market closing price of the Company's shares on 11 July 2001 was 145p,
which is more than 15% below the price of the New Shares.
Accordingly, the final dividend of 0.714p per Ordinary Share will, subject to
the approval of the dividend by shareholders at the Annual General Meeting of
the Company on 25 July 2001, be paid in cash to all shareholders on the
Company's share register on 8 June 2001. The dividend payment date is 10
August 2001.
