   NOTICE REGARDING BOARD OF DIRECTORS' RESOLUTION TO FILE FOR DELISTING WITH
                            FRANKFURT STOCK EXCHANGE

Vodafone Group Plc announces that, due to the minimal amount of daily trading in
the Company's shares on the Frankfurt Stock Exchange, it has filed for delisting
of its shares from that Exchange. It is anticipated that the delisting will be
effective from the end of March 2004/beginning of April 2004.
