Vodafone Group Plc ('the Company')



In accordance with Part VI of the Companies Act 1985, I have to inform you that
the Company has received notification that, as at 7 August 2003, Barclays PLC,
through its subsidiaries and affiliates, had a notifiable interest in
2,069,252,148 ordinary shares of US$0.10 each in the capital of the Company.
This represented 3.03 per cent of the issued ordinary share capital of the
Company. Subsequently, the Company has received notification that, as at 11
August 2003, Barclays PLC, through its subsidiaries and affiliates, no longer
has a notifiable interest in the ordinary share capital of the Company.
