Vodafone Group Plc ('the Company')


In accordance with Part VI of the Companies Act 1985, I have to inform you that
the Company received notification on 19 June that, as at 12 June 2006, Barclays
PLC, through its subsidiaries and affiliates, had a notifiable interest in
2,158,466,558 ordinary shares of US$0.10 each in the capital of the Company.
This represents 3.59 per cent of the issued ordinary share capital of the
Company.
