          VODAFONE INCREASES SHAREHOLDING IN VODAFONE-PANAFON TO 77.5%

Vodafone Group Plc ('Vodafone') announces that on 3 December 2003 it purchased
14,710,436 shares in Vodafone-Panafon Hellenic Telecommunications Company S.A.
('Panafon'). These market purchases were effected at a price per Panafon share
of EUR 6.18 or below, for an aggregate consideration of approximately EUR 91
million. As a result, Vodafone's direct and indirect shareholding in Panafon
will increase from approximately 74.795 per cent. to approximately 77.503 per
cent.

Vodafone expects to continue to make market purchases at a price per Panafon
share of EUR 6.18 or below.
