Vodafone AirTouch PLC 28 April 2000 VODAFONE AIRTOUCH PLC $3.5 BILLION FRN ISSUE NOT FOR RELEASE OR DISTRIBUTION IN THE UNITED STATES OR CANADA Vodafone AirTouch Public Limited Company announced today a proposed issue of $3.5 billion of short-dated Floating Rate Notes. The Notes will be offered in the United States only to 'qualified institutional buyers' as defined in Rule 144A under the U.S. Securities Act of 1933 and outside the United States in accordance with customary practice for similar issues. Lehman Brothers will act as the sole underwriter for the offering. The Notes will be unsecured debt obligations of Vodafone AirTouch and will rank equally with all other present and future unsecured and unsubordinated debt obligations of the company. Application has been made to list the Notes on the London Stock Exchange. The purpose of the offering is to provide funds for general corporate purposes, including working capital and the interim financing of costs in connection with third generation (3G) telecommunications licenses. Launch and pricing of the issue is expected during the week of May 1, 2000, subject to market conditions. These materials are not an offer for sale of the Notes in the United States.
