           VODAFONE AIRTOUCH RECEIVES PHASE 1 CLEARANCE

Vodafone AirTouch Plc ('Vodafone AirTouch') announces that it  has
today  been  notified by the EU Commission that  it  has  received
Phase 1 clearance for its acquisition of Mannesmann AG.

Commenting, Chris Gent, Chief Executive of Vodafone AirTouch, said:
'After  what has been, quite appropriately, an extremely  thorough
investigation, I am pleased that we have been able to satisfy  all
the issues that were raised by the EU Commission and third parties
in  Phase  1.  It  is  an enormous credit to all  those  involved,
especially  the Commission services, that the procedure  has  been
completed  in  such a comparatively short period of time.  We  now
look  forward  to  getting  on with the  integration  of  the  two
